Acceptance of the Terms

These Terms of Use (the “Terms”) govern your access to and use of Prospect Match’s website at prospectmatch.com and any related products, services, content, and applications (the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Eligibility & accounts

You must be at least 18 years old to use the Services. If you create an account, you agree to provide accurate information and keep your credentials secure. You are responsible for all activities under your account.

License & acceptable use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. You agree not to: (i) copy, modify, or create derivative works of the Services; (ii) reverse engineer or attempt to extract source code; (iii) use the Services for unlawful, infringing, or harmful activities; (iv) interfere with or disrupt the Services; (v) use automated means to access the Services except as expressly permitted; (vi) circumvent security or usage limits; or (vii) submit or share unlawful or infringing content.

Your content

You retain ownership of content you submit. You grant Prospect Match a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and perform your content as reasonably necessary to operate and improve the Services and to provide integrations you enable. You represent that you have all rights necessary and that your content complies with law and third-party rights.

Beta features & integrations

Some features may be identified as beta, preview, or experimental and may be changed or discontinued at any time. Integrations with third-party services are optional and subject to their terms/policies; we are not responsible for third-party services.

Payments

If the Services require payment, you agree to pay all fees as described at purchase or in an applicable order form. Fees are non-refundable except as required by law or expressly stated otherwise. We may suspend or terminate access for non-payment.

Communications & consent

By providing contact information, you consent to receive service-related communications. Where you consent to marketing, you may opt out at any time. If you provide a phone number, standard carrier rates may apply and, where applicable, you consent to receive autodialed or prerecorded calls/texts from us or our service providers; you can opt out using provided instructions.

Intellectual property

The Services, including all software, text, designs, logos, and other content, are owned by Prospect Match or its licensors and protected by intellectual property laws. Except for rights expressly granted to you, we reserve all rights. No rights are granted by implication or estoppel.

Confidentiality

If you receive non-public information marked confidential or that reasonably should be considered confidential, you will use it only to access and use the Services and will protect it with reasonable care. This obligation does not apply to information that is public through no fault of yours, independently developed, or lawfully disclosed by a third party without confidentiality obligations.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPECT MATCH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

Indemnification

You agree to defend, indemnify, and hold harmless Prospect Match and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Services, or your violation of these Terms or applicable law.

Suspension & termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, pose a risk, or for any other lawful reason. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive (e.g., IP, disclaimers, limitations of liability, indemnification).

Changes to the Services or Terms

We may modify the Services and these Terms from time to time. If we make material changes, we will provide notice (e.g., by posting on our site or sending an email). Changes are effective when posted unless stated otherwise. Your continued use after changes become effective constitutes acceptance.

Governing law; venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. The state and federal courts located in California will have exclusive jurisdiction and venue, and you consent to personal jurisdiction in those courts. (If you prefer arbitration or a different venue, have counsel adjust this section.)

Export & sanctions compliance

You agree to comply with all applicable export control and sanctions laws and not to use the Services in or for the benefit of any embargoed or sanctioned country or person.

General

If any provision is found unenforceable, it will be replaced with a valid term reflecting the original intent as closely as possible; the remainder remains in effect. Our failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, merger, or sale of assets.
